Text of the provision

Art. 45. Juridical persons mentioned in Nos. 1 and 2 of the preceding article are governed by the laws creating or recognizing them. Private corporations are regulated by laws of general application on the subject. Partnerships and associations for private interest or purpose are governed by the provisions of this Code concerning partnerships.

What this article means

This routes each class of juridical person to its governing law. The State, its subdivisions, and public entities follow the laws that created or recognized them. Private corporations are governed by the general corporation law (today the Revised Corporation Code). Partnerships and associations are governed by the Civil Code's own provisions on partnership (Arts. 1767 et seq.).
